The company cited deteriorating industry conditions that have impacted the demand for the company's products. The visibility remains limited, and the company plans for soft industry conditions for the next two quarters that may keep revenues below breakeven. Aetrium will have a 15% reduction in its workforce and wage reductions of up to 10% for its officers.

16:12 EDTATRMAetrium acquires KBS Building Systems
Aetrium announced that it has acquired substantially all of the assets of KBS Building Systems and certain of its affiliated entities. KBS, which is based in South Paris, Maine, manufactures, sells, and distributes modular housing units for both residential and commercial use. Consideration for the acquisition included $5M in cash, a $5.5M six-month promissory note made by a wholly-owned subsidiary of Aetrium, the assumption and payoff of approximately $1.4M in debt, and the assumption of certain other liabilities related to the purchased assets. The acquisition was financed by $6.5M in loans, $0.5M f which is convertible into Aetrium common stock, from Lone Star Value Investors, an investment fund managed by Mr. Eberwein.
